Resolutions of Fingrid Oyj’s Annual General Meeting

Fingrid Oyj’s Annual General Meeting was held in Helsinki today, on 25 March 2026. The Annual General Meeting approved the financial statements for 2025, reviewed the Remuneration Report 2025, discharged the members of the Board of Directors and the CEO from liability, and decided on the remuneration of the members of the Board of Directors.
The Annual General Meeting elected Fingrid Oyj’s Board of Directors for the term that ends at the close of the next Annual General Meeting. Eeva-Liisa Virkkunen was re-elected as Chair of the Board of Directors, and Leena Mörttinen was re-elected as Deputy Chair of the Board of Directors. Mika Lehtimäki and Christoffer Nyberg were elected as new Board members and Jero Ahola was re-elected as Board member. The Annual General Meeting decided to distribute a dividend of max. EUR 137,858,500.00. The dividends will be paid in two instalments. The first instalment of EUR 36,300.00 for each Series A share and EUR 13,300.00 for each Series B share, totalling EUR 92,016,500.00 in dividends, shall be paid on 30 March 2026. In addition, the Annual General Meeting authorised the company’s Board of Directors to decide on the payment of a possible second dividend instalment after the half-year report has been confirmed, once the Board of Directors has assessed the company’s solvency, financial position and financial development. The second instalment shall be a totalling max. 45,842,000.00. The Board of Directors will distribute the second dividend instalment to the shareholders of the different share series in the manner prescribed by the Articles of Association in force at the time of the Board’s decision. The authorisation remains valid until the next Annual General Meeting.
KPMG Oy Ab, which appointed Heidi Hyry, Authorised Public Accountant, KHT, as the principal auditor, was elected as the auditor of the company. The Authorised Sustainability Audit Firm KPMG Oy Ab, which appointed Heidi Hyry, Authorised Sustainability Auditor, as the principal sustainability reporting assurer, was elected as the sustainability reporting assurer for the company.

Jäsenyydestä luopuminen liittyy siihen, että Keskinäinen Eläkevakuutusyhtiö Ilmarinen on myynyt noin 20 prosentin omistusosuutensa Fingridistä Suomen valtiolle ja OP Pohjola Kantaverkko Holding Ky:lle. Nyberg toimii Keskinäinen Eläkevakuutusyhtiö Ilmarisen vanhempana salkunhoitajana. Fingridin hallitus säilyy eron jälkeen päätösvaltaisena. Christoffer Nyberg has resigned as a member of Fingrid’s Board of Directors. His exit from the Board is related to Ilmarinen Mutual Pension Insurance Company selling its holding of approximately 20 per cent of the shares of Fingrid to the Finnish State and OP Pohjola Kantaverkko Holding Ky. Nyberg acts as a Senior Portfolio Manager at Ilmarinen Mutual Pension Insurance Company. Fingrid’s Board of Directors will remain quorate after the resignation. Fingrid Oyj informerade den 5 februari 2026 att Ömsesidiga Pensionsförsäkringsbolaget Ilmarinen säljer cirka 20 procent av sin ägarandel i Fingrid till finska staten och OP Pohjola Kantaverkko Holding Ky. Arrangemangen i anslutning till ändringen i ägarstrukturen genomförs stegvis, och överföringen av aktierna i A‑serien (311 st.) från Ömsesidiga Pensionsförsäkringsbolaget Ilmarinen till finska staten samt överföringen av aktierna i B‑serien (350 st.) till OP Pohjola Kantaverkko Holding Ky har nu slutförts. I nästa fas av arrangemangen ändras 50 st. A-aktier som ägs av finska staten till B‑aktier som säljs till OP Pohjola Kantaverkko Holding Ky på så sätt att en B-aktie förblir i statens ägo. När samtliga arrangemang som hör samman med ändringen i ägarstrukturen har genomförts i sin helhet, kommer statens ägarandel att öka till 59,5 procent och OP Pohjola Kantaverkko Holding Ky:s andel kommer att vara 14,2 procent. Fingrid Oyj tiedotti 5.2.2026, että Keskinäinen Eläkevakuutusyhtiö Ilmarinen myy noin 20 prosentin omistusosuutensa Fingridistä Suomen valtiolle ja OP Pohjola Kantaverkko Holding Ky:lle. Omistusrakenteen muutokseen liittyvät järjestelyt toteutuvat vaiheittain ja nyt on saatu päätökseen Keskinäinen Eläkevakuutusyhtiö Ilmariselta Suomen valtiolle siirtyvien A-sarjan osakkeiden siirto (311 kpl) sekä OP Pohjola Kantaverkko Holding Ky:lle siirtyvien B-sarjan osakkeiden siirto (350 kpl). Järjestelyiden seuraavassa vaiheessa 50 kappaletta Suomen valtion omistamia A-sarjan osakkeita muutetaan B-sarjan osakkeiksi, jotka myydään OP Pohjola Kantaverkko Holding Ky:lle siten, että yksi B-osake jää valtiolle. Kun omistusrakenteen muutokseen liittyvät järjestelyt on toteutettu kokonaisuudessaan, valtion omistusosuus nousee 59,5 prosenttiin ja OP Pohjola Kantaverkko Holding Ky:n osuus tulee olemaan 14,2 prosenttia.
